2023 Proposed By-Laws
During the meeting, the vote will be For or Against the proposal below. This vote affects the qualifications and roles of the Board of Directors. The motion will be to approve all the changes to the existing Bylaws that have been recommended by the UPMA Board of Directors as detailed below.
- Article 4, Section D: Each member of the Board shall be an authorized representative of a Regular Member. Members who are owned, managed, or otherwise operated by a common parent corporation, firm, or business entity shall be allowed only one (1) member at any one time on the Board. If at any time it is determined that two (2) or more individuals serving on the Board are representatives of Members owned, managed, or otherwise operated by a common parent corporation, firm, or business entity, all but one (1) of such individuals shall resign immediately from the Board of Directors.
- Proposed Change: Each member of the Board shall be an authorized representative of a Regular Member. Members who are owned, managed, or otherwise operated by a common parent corporation, firm, or business entity shall be allowed up to a maximum of two (2) members at any one time on the Board. If at any time it is determined that more than two (2) individuals serving on the Board are representatives of Members owned, managed, or otherwise operated by a common parent corporation, firm, or business entity, all but two (2) of such individuals shall resign immediately from the Board of Directors.
